Prosus has committed $100 million for a minority stake in Navi, marking the first institutional capital for the eight-year-old fintech founded by Flipkart co-founder Sachin Bansal. The investment values the Bengaluru company at roughly $1.3 billion, a notable discount to the $2 billion valuation Navi sought from institutional investors in 2024.
The valuation reset
The $1.3 billion figure represents a 35 percent haircut from the target Navi floated two years ago, when the IPO window was still ajar. Since then the startup has burned through hundreds of millions of Bansal’s personal capital while building a full-stack financial services platform spanning payments, lending, insurance and mutual funds. The down round, if that is what this is, arrives wrapped in a primary infusion rather than a secondary sale, so Bansal’s ownership dilutes but his cash position does not improve.
The capital structure
The $100 million is fresh equity, subject to customary closing conditions and regulatory approvals. The source does not disclose a break fee, a board seat, or any preferential liquidation terms. Prosus gets a slice of a business that generated ₹30.91 billion (about $323 million) in revenue for the fiscal year ended March 2026, while the net loss widened to ₹4.66 billion ($48.7 million). Navi claims consolidated profitability in the final quarter of that year, a milestone that, if sustained, would change the unit economics conversation entirely.
The IPO backdrop
Navi is simultaneously preparing a ₹30 billion (roughly $314 million) initial public offering, having abandoned a $440 million filing in 2023 when the market turned. The Prosus check looks like bridge financing dressed up as strategic endorsement: it extends the runway, validates the franchise for public-market investors, and gives Prosus a front-row seat on a potential listing. Bansal called the investment a “strong endorsement” of the institution Navi is building and cited the investor’s global perspective and experience scaling technology businesses.
What to watch
Navi’s UPI app processed 947 million transactions worth ₹483.18 billion ($5.05 billion) in July, making it the fourth-largest player behind PhonePe, Google Pay and Paytm. Its lending arm, Navi Finserv, carries ₹130 billion ($1.4 billion) in assets under management. The next signal will be the IPO draft red herring, specifically whether the ₹30 billion raise holds, what the price band implies for the $1.3 billion private mark, and whether Prosus participates in the public offering or heads for the exit.
