Meta is raising up to $95 billion in fresh equity to fund an AI build-out that the company says already runs into the hundreds of billions over the next several years. The capital comes in two tranches: a $35 billion underwritten public offering anchored by Nvidia, AMD and Broadcom, and a $60 billion at-the-market programme that will drip-feed new Class C shares into the market at prevailing prices. The Class C structure, unveiled last week, carries no voting rights, so Mark Zuckerberg’s control stays intact no matter how many shares are sold.
The anchor list reads like a cap-table signal
Nvidia, AMD and Broadcom have indicated interest in taking up to $5 billion of the underwritten portion combined. That is a modest slice of the $35 billion deal, but the symbolism is deliberate. The three companies sell the silicon Meta buys by the pallet; letting them buy equity ties their upside to Meta’s procurement roadmap. It also gives the offering a quality stamp that a pure financial syndicate could not. Meta did not disclose the price or any discount to the undisturbed market, nor did it name a break fee or other deal protection.
The ATM is the real fire hose
The $60 billion at-the-market facility is where the volume lives. Meta can sell Class C stock over time without a roadshow, a pricing window or a fixed commitment from underwriters. That flexibility matters when the capital need is measured in “hundreds of billions” across multiple years, a figure the company disclosed in internal forecasts last week. The ATM also sidesteps the signalling risk of a single massive block trade. Investors will watch the daily volume reports to gauge how aggressively Meta leans on the facility and whether the market absorbs the supply without a sustained price concession.
Control is the constant
The new Class C shares extend that logic: infinite economic dilution, zero political dilution. The company frames the raise as “investing with financial discipline” and cites tangible returns from AI in engagement, ad performance and monetisation. It also lists personal superintelligence, consumer and business agents, enterprise products and AI glasses as the next fronts. Whether the market prices that discipline at a premium or a discount will show up in the ATM execution data, not in the press release.
