The founder filed plans to unload as much as $4 billion of stock while the cloud unit he built sits on a half-trillion-dollar revenue backlog and burns cash to build the infrastructure meant to monetize it.

The plan and the pace

Jeff Bezos sold 1.2 million Amazon shares last week, the first tranche of a Rule 10b5-1 schedule adopted in 2025 that authorizes up to 15 million shares in total. At recent prices the full program would exceed $4 billion. The plan was put in place well before the latest quarterly results, meaning the timing is mechanical rather than a signal about near-term prospects. Bezos still holds roughly 880 million shares, the bulk of his net worth.

Retail momentum and the Prime Day shift

Second-quarter revenue in the combined North America and International segments rose about 16 percent year over year. Part of the lift came from moving Prime Day out of the third quarter, but advertising sales and Prime membership growth also widened operating margins in the retail business. The core commerce engine is generating enough profit to fund the cloud build-out without outside capital.

AWS acceleration and the spending wall

Amazon Web Services revenue climbed 37 percent year over year, the fifth consecutive quarter of acceleration, and segment operating margin reached 39.4 percent. The backlog of contracted future revenue hit $496 billion at quarter end. To deliver on that backlog, capital expenditure has driven trailing twelve-month free cash flow into negative territory. Management argues the spend is front-loaded: custom Trainium and Graviton silicon should improve both Amazon's margins and customers' price-performance as AI workloads migrate off standard GPUs.

The trillion-dollar marker

Andy Jassy told analysts AWS could eventually become a $1 trillion annual revenue business. Even half that figure would produce hundreds of billions in yearly free cash flow, a trajectory that would revalue the equity substantially over time. The market is being asked to price a future cash gusher while digesting a present cash drain.

What to watch

The next few quarters will test whether the backlog converts to recognized revenue fast enough to offset the investment cycle. Margin trajectory on the custom silicon roadmap, the pace of free cash flow inflection, and any change in the 10b5-1 selling rhythm are the variables that will determine whether the current price reflects the option value Jassy describes or simply the cost of building it.
